1. About these terms

These terms apply to your use of this website and to quotations, orders and sales made by Echo Autoparts (Thailand) Co.,Ltd ("we", "us", "our"), registration number [COMPANY.REGISTRATION_NUMBER], with its address at 13 Bang Na-Trat Frontage Rd, Bang Wua.

This website and our services are intended for business buyers only, including importers, distributors, fleet operators, retailers and public-sector buyers. By using the website or submitting a request for quotation, you confirm that you are acting on behalf of a business or organization and not as a consumer.

2. Website use

2.1 You may use this website to browse products, submit requests for quotation (RFQs) and, if registered, manage your account.

2.2 You must not misuse the website, including by submitting false information, attempting unauthorized access, interfering with its operation, scraping content at scale or uploading files containing malicious code.

2.3 Product information, part numbers, cross-references, fitment data and images on the website are provided for guidance. They may contain errors or become outdated when manufacturers change specifications. Product images may be representative.

2.4 Trademarks, vehicle manufacturer names and part numbers are used for identification and reference purposes only and remain the property of their owners. Their use does not imply any affiliation with or endorsement by those owners.

3. Accounts

3.1 Registered users must provide accurate business information and keep login credentials confidential.

3.2 You are responsible for activity under your account. Notify us promptly at [email protected] if you suspect unauthorized use.

3.3 We may suspend or close accounts that breach these terms or that we reasonably believe are used fraudulently.

4. Requests for quotation

4.1 Submitting an RFQ does not create a contract and does not oblige either party to buy or sell.

4.2 Match statuses (Exact Match, Possible Match, Cross-reference Match, No Match) are guidance based on available data. The buyer is responsible for confirming that parts are suitable for its vehicles and intended use, especially for lines marked Possible Match or Cross-reference Match.

4.3 You confirm that you have the right to share any files and information you upload.

5. Quotations

5.1 Quotations are valid for the period stated on them. Unless stated otherwise, prices, availability and freight costs are subject to confirmation at the time of order.

5.2 Each quotation states the Incoterm (Incoterms 2020) and named place, currency, payment terms and any exclusions. Where there is a conflict between these general terms and a signed quotation or order confirmation, the signed document prevails.

5.3 Brand type (OEM, OES or aftermarket) and country of origin are stated as provided by the manufacturer or supplier.

6. Orders and contract formation

6.1 A contract is formed only when we issue a written order confirmation or proforma invoice and, where required, receive the agreed payment.

6.2 If a supplier discontinues, supersedes or cannot supply an item after order confirmation, we will notify you and propose an alternative, a delay or removal of the item with a corresponding credit or refund. We will not substitute an item without your approval.

7. Payment

7.1 Payment terms are stated in the quotation and order confirmation.

7.2 Bank charges are allocated as agreed. Unless agreed otherwise, charges of the buyer's bank are for the buyer's account.

7.3 Release of original shipping documents may be conditional on payment in accordance with the agreed terms.

8. Delivery, risk and title

8.1 Delivery and transfer of risk follow the Incoterm stated in the order confirmation.

8.2 Title to goods passes [LEGAL.TITLE_TRANSFER_POINT].

8.3 Estimated dates for readiness, loading or shipment are estimates only. We are not liable for delays caused by carriers, port congestion, customs authorities, suppliers or events beyond our reasonable control.

9. Buyer responsibilities

The buyer is responsible for:

• Import licenses, permits, product registrations and conformity requirements in the destination country, unless agreed otherwise in writing
• Import duties, taxes and destination charges, according to the Incoterm
• Determining eligibility for preferential tariff treatment with its customs advisers
• Compliance with laws governing resale, labeling and use of the goods in its market

10. Inspection and claims

Pre-shipment checks are described on our quality control page. Claims for shortage, damage or wrong parts must be made in accordance with our returns and claims policy.

11. Warranty

11.1 Warranty coverage, if any, is as stated in the order confirmation and, where applicable, the manufacturer's warranty terms.

11.2 Warranty does not cover wear and tear, incorrect installation, misuse, accidents, modifications, or use of parts for applications other than those specified.

12. Limitation of liability

12.1 To the extent permitted by applicable law, our total liability arising from an order is limited to [LEGAL.LIABILITY_CAP].

12.2 To the extent permitted by applicable law, we are not liable for indirect or consequential loss, including loss of profit, business interruption, vehicle downtime or labor costs.

13. Export controls and sanctions

Each party must comply with applicable export control and sanctions laws. We may refuse or cancel orders where supply would breach such laws.

14. Force majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, epidemics, war, government action, strikes, port closures and carrier failures.

15. Governing law and disputes

16. Changes

We may update these terms. The version in force at the time of your order confirmation applies to that order.
